1. Acceptance of Terms
These Terms of Service (the “Terms”) are entered into by and between you, the customer or authorized user (“you” or “your”), and SaaS Logic LLC (“SaaS Logic,” “we,” “us,” or “our”). If you accept these Terms for a company, agency, government entity, or other organization, you represent that you have authority to bind that organization.
These Terms include any applicable order form, subscription or checkout terms, privacy policy, acceptable-use rules, data-processing terms, service-level commitments, refund or cancellation terms, and other policies expressly incorporated by reference.
2. Platform Scope
“Services” means FacilityView360 and every related SaaS Logic product, site, application, mobile application, API, connector, integration, module, workflow, dashboard, report, digital-twin feature, camera or video feature, GIS feature, evidence feature, implementation service, support service, documentation, and add-on that SaaS Logic makes available now or later.
The product family may include FacilityView360, CMMS Pro, CMMS Lite, SecureDutyPro, AssetView3D, GIS and mapping tools, camera and Vision Edge capabilities, reporting and analytics, inspections, work orders, preventive maintenance, training, procurement, inventory, scheduling, communications, dispatch, security operations, digital twins, and related tenant or enterprise features. Individual products may have additional terms, technical requirements, or pricing shown in an order form or within the applicable service.
FacilityView360 may present connected information from multiple systems. Each source system may retain authority over its own records, permissions, availability, and data. A consolidated view does not change the underlying source system’s official record.
3. Accounts, Users, and Credentials
You must provide accurate, current, and complete registration and billing information. You are responsible for maintaining the confidentiality of credentials and for all activity under your account.
You must promptly notify SaaS Logic of suspected unauthorized access, lost credentials, a security incident, or a change in an authorized user’s status. You are responsible for managing your administrators, roles, tenant permissions, integrations, and connected devices.
4. Subscriptions, Seats, Trials, and Add-ons
Paid access, seat limits, usage limits, add-ons, implementation charges, taxes, renewal terms, and cancellation rights are governed by the applicable order form, checkout page, or subscription plan. Fees are due when stated. You authorize the applicable payment processor or invoicing process to collect amounts owed.
Trials, demonstrations, beta features, promotional access, and evaluation environments may be limited, changed, suspended, or discontinued at any time. Unless expressly stated otherwise, trial or promotional access is provided for evaluation and does not create a commitment to provide a permanent feature or service level.
Adding, removing, or changing seats, tenants, cameras, storage, integrations, or other add-ons may change charges or technical limits. You are responsible for charges and activity associated with your account.
5. Limited License
Subject to these Terms and timely payment of applicable fees, SaaS Logic grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business, operational, security, maintenance, infrastructure, or administrative purposes during the applicable subscription term.
No ownership interest is transferred. You may use Documentation only as reasonably necessary to support authorized use. Any rights not expressly granted are reserved by SaaS Logic and its licensors.
6. Prohibited Conduct
You will not, and will not permit any person or third party to:
- share, transfer, resell, sublicense, lease, rent, or provide credentials, seats, or access to an unauthorized person;
- copy, reproduce, modify, adapt, translate, frame, mirror, or create derivative works of the Services or Documentation;
- reverse engineer, decompile, disassemble, decrypt, decode, discover source code, or attempt to derive underlying ideas, algorithms, models, or trade secrets, except to the limited extent a restriction is prohibited by applicable law;
- remove or alter copyright, trademark, confidentiality, attribution, security, or proprietary notices;
- bypass, disable, defeat, test, probe, or circumvent authentication, tenant isolation, seat enforcement, usage limits, licensing controls, rate limits, security controls, or access restrictions;
- use bots, crawlers, scrapers, automated extraction, bulk export, or monitoring tools except through documented interfaces expressly provided by SaaS Logic;
- use the Services to build, train, benchmark, market, or support a competing product or service, or to copy the Services’ features, workflows, reports, user interface, or visual design;
- introduce malware, harmful code, unauthorized access mechanisms, or content that interferes with the integrity, availability, security, or performance of the Services;
- use the Services unlawfully, to infringe another party’s rights, to harass or harm a person, or in a manner that creates unreasonable risk to people, facilities, systems, or the public; or
- permit a contractor, vendor, affiliate, customer, or other third party to access the Services except as expressly authorized and properly provisioned.
7. Customer Data and Privacy
You retain your rights in data, records, images, videos, work orders, asset information, location information, personnel information, and other content that you submit to or generate through the Services (“Customer Data”). You are responsible for the accuracy, legality, security, and permissions associated with Customer Data.
You grant SaaS Logic the limited right to host, process, transmit, display, secure, back up, and otherwise use Customer Data as necessary to provide, maintain, support, protect, and improve the Services, comply with law, and prevent fraud or security incidents. SaaS Logic may use aggregated or de-identified information that does not identify you or an individual.
You must not submit data that you do not have the right or authorization to use. You are responsible for maintaining appropriate exports and copies of Customer Data. Privacy and data-processing practices are described in the applicable privacy policy and data-processing terms.
8. Third-Party Services and Integrations
The Services may connect to or depend on third-party services, devices, networks, mapping providers, payment processors, communication providers, camera systems, hosting services, identity providers, or customer-controlled systems. Third-party services may have separate terms and may change or become unavailable.
You authorize SaaS Logic to exchange information with integrations you enable. You are responsible for permissions, credentials, configurations, licenses, fees, and legal compliance relating to systems you connect. SaaS Logic is not responsible for third-party acts, omissions, outages, data loss, or changes outside its reasonable control.
9. Availability, Changes, and Support
SaaS Logic may maintain, update, improve, modify, add, limit, or discontinue features, products, modules, integrations, or add-ons. Some features may be preview, beta, experimental, or dependent on hardware, network, data, or third-party availability.
Unless a written service-level commitment applies, the Services are provided on an “as available” basis. We do not guarantee uninterrupted, error-free, secure, or universally compatible operation. Support is provided according to the applicable plan, order form, or commercially reasonable practices.
10. Intellectual Property
The Services, including software, source and object code, interfaces, layouts, designs, workflows, reports, documentation, graphics, logos, marks, product names, methods, and improvements, are owned by SaaS Logic or its licensors and are protected by intellectual-property laws. FacilityView360, SaaS Logic, CMMS Pro, CMMS Lite, SecureDutyPro, AssetView3D, and related names and marks may be trademarks of SaaS Logic or their respective owners.
If you provide feedback, suggestions, or ideas, you grant SaaS Logic a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate them without restriction or compensation, provided that this does not transfer ownership of your Customer Data.
11. Suspension and Termination
SaaS Logic may suspend or restrict access if reasonably necessary to address nonpayment, a security threat, unlawful conduct, a material breach, misuse, risk to another customer, or risk to the Services. We may terminate an account or subscription as allowed by the applicable order or subscription terms.
Upon termination, your license ends and you must stop using the Services, return or delete restricted materials, and stop using credentials and integrations. Provisions concerning data, intellectual property, restrictions, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express, implied, statutory, or otherwise. SaaS Logic disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, security, and error-free operation.
You are responsible for evaluating information and outputs from the Services before relying on them, including maintenance, safety, security, compliance, operational, financial, or emergency decisions. The Services are tools and do not replace qualified professional judgment, required inspections, legal advice, engineering review, or emergency response procedures.
13. Limitation of Liability and Indemnification
To the maximum extent permitted by law, SaaS Logic and its members, officers, employees, agents, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business interruption, or substitute services arising from or related to the Services or these Terms.
To the maximum extent permitted by law, SaaS Logic’s total aggregate liability will not exceed the fees you paid for the affected Service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater. You agree to defend, indemnify, and hold harmless SaaS Logic and its representatives from claims, losses, damages, liabilities, and reasonable expenses arising from your Customer Data, your use or misuse of the Services, your breach of these Terms, or your violation of law or third-party rights.
14. General Terms
These Terms and incorporated documents form the entire agreement concerning the Services and supersede prior statements on the same subject. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without written consent; SaaS Logic may assign them in connection with a merger, reorganization, or sale of assets.
These Terms are governed by Florida law, without regard to conflict-of-law rules. Subject to any applicable arbitration provision or small-claims right, the state and federal courts located in Volusia County, Florida have exclusive jurisdiction. Any arbitration or class-action waiver stated in an applicable order or incorporated policy will apply as permitted by law.
SaaS Logic may update these Terms by posting a revised version with a new effective date. Material changes may also be communicated through the Services or by email. Continued use after the effective date constitutes acceptance of the revised Terms.
